Recently, SW hosted the 6th session of its seminar series on global expansion, focusing on Germany and Europe. Organized as a roadshow in a hybrid online-offline format, the event was held successively in Shanghai, Hong Kong and Chongqing, focusing on key concerns for Chinese investors expanding into Europe. Leading professional teams from Germany, the Netherlands, and Poland provided in-depth policy interpretations and practical advice covering tax planning, cross-border M&A and local compliance implementation.
The roadshow received enthusiastic responses in all three cities. Li Xiaoying, Chairman of SW China Group, delivered a welcome address via video. She noted that amid profound shifts in the global economic landscape and challenges including trade barriers, geopolitical fluctuations and supply chain restructuring, an increasing number of businesses are turning to Europe. She stressed that cultural disparities, regulatory and tax compliance, as well as cross-cultural communication constitute core issues for global expansion. Beyond fundamental services such as audit and taxation, SW is committed to helping businesses address operational and management hurdles and foster collaboration among cross-cultural teams. Roy Lo, Managing Partner of SW Hong Kong, and Fu Shiqing, General Manager of SW Chongqingx, welcomed and delivered remarks.

At the Shanghai session, Feng Ji, Secretary-General of the Shanghai Pudong Service Center for Overseas Investment, and Luo Nan, President of the Agricultural Bank of China(ABC), Shanghai Pudong Branch, delivered insightful opening remarks. Hou Zhe, General Manager of the International Finance Department of the ABC, Shanghai Pudong Branch, also gave a professional sharing on ODI filing procedures and issues relating to outbound capital transfers.
German Market Insights & M&A Structures
Thomas Tesche and René Schäfer, Partners from SW Germany, outlined Germany’s current investment landscape and the core legal and tax frameworks for cross-border M&A. They explained the key distinctions between establishing a GmbH (limited liability company) versus a partnership, in terms of taxation, audit requirements and legal liabilities. In M&A practice, they presented a comprehensive comparative analysis of "Share Deals" vs. "Asset Deals", enabling investors to build an optimal tax framework at the early stage of transactions.
Dutch Holding Structures & Case Studies
Bas Pijnaker and Jeroen Rooijakkers from Govers (UHY Netherlands) presented online, elaborated on the unique strengths of the Netherlands as a European holding center. Through practical case studies, they illustrated the country's favorable tax policies and multinational network, demonstrating how businesses can utilize a Dutch holding company to reduce cross-border tax costs and significantly enhance the overall efficiency of capital flow and operations within Europe.
Leveraging Poland as a Growth Engine
Joining virtually, the UHY ECA Poland team—consisting of Roman Seredynski, Barbara Jędrzejek, and Edyta Krzywańska—mapped out a strategic blueprint for corporate entry into the Eastern European market. They pointed out that Poland, boasting a dynamic economic scale, highly skilled workforce, and attractive Corporate Income Tax (CIT) exemptions under the Polish Investment Zone (PIZ), has emerged as a preferred destination for enterprises to set up manufacturing and logistics bases. The Polish team outlined the alignment between Polish Accounting Standards (PAS) and IFRS, while sharing critical practical insights on optimizing post-acquisition cash flows through Polish entities.
In today's complex global economy, expanding into Europe demands far more than capital allocation — it requires a complete evolution of localized compliance and management capacity.
